Service Agreement (Time & Materials)

This agreement governs leak investigations, leak repairs, and general roof service work performed by Rain Defense on a time-and-materials basis.

Warranty

Upon completion of a permanent repair by Rain Defense and payment in full, Rain Defense warrants the workmanship of that permanent repair for a reasonable period consistent with the repair scope. Due to the nature of rain-related leaks and roof system complexity, Rain Defense cannot and does not guarantee complete leak elimination on the first visit. Additional trips required to fully resolve a condition are billable as normal service calls unless expressly covered by a written warranty on that specific repair.

Temporary measures (e.g., emergency tie-ins, temporary patches, plastic, etc.) are provided only to stabilize conditions and are not warranted as permanent repairs.

Rain Defense assumes no responsibility for consequential or interior damages (including but not limited to business interruption, contents, finishes, or occupant impacts).

Leak Repairs

Leak diagnosis may require one or more of the following, as appropriate to the condition: visual inspection, controlled water testing, and/or limited destructive testing to expose concealed conditions. Visual inspection is used first whenever feasible. Water testing or limited destructive testing is used when visual methods are insufficient to determine the source.

Weather, wet substrates, or site constraints may limit what permanent work can be performed on a given visit. In such cases, temporary measures may be installed for safety and mitigation until permanent repairs are practical. Unless your invoice expressly states otherwise, temporary measures are not considered permanent repairs.

General Service Work

“General Service Work” is non-leak work requested by the owner/manager (e.g., preventive maintenance, sealing penetrations, minor sheet-metal adjustments, debris removal/clearing drains when authorized, or other time-and-materials tasks). Temporary measures, when used, are not considered permanent repairs unless your invoice expressly states otherwise.

Existing Conditions

From time to time it may be necessary to move, disconnect, or protect equipment or building elements to safely access work areas (e.g., satellite dishes, HVAC condensate lines, gas/electrical/conduit, cable/phone/low-voltage lines). Owner/manager remains responsible for restoring non-roof systems unless otherwise authorized in writing.

Owner/manager warrants that the structure and work surface are safe and suitable for the work to be performed. If there is any question as to safety or suitability, please raise such issues prior to scheduling service.

Schedule (Normal Hours & Weather)

  • Normal operating hours: Monday–Friday, 7:30 a.m. to 5:00 p.m.
  • Work is weather-dependent; severe or unsafe conditions may require deferral for quality and safety.
  • Rain Defense may temporarily restrict limited pedestrian/vehicle traffic to protect occupants and staff during service.

Billing (Time & Materials)

  • Standard rate: $140 per man-hour.
  • Overtime rate: $162 per man-hour (work outside normal operating hours or when required by conditions).
  • Prevailing-wage work: Billed at the applicable prevailing rate when required (confirm current rate prior to scheduling).
  • Materials: Charged at retail. Minimum materials charge: $200 per service call.
  • Service-call minimum: $480 per visit during regular business hours (includes standard mobilization and initial labor). Additional fuel surcharge may apply and varies with fuel prices.
  • Authorization cap: Standard maximum allotment for a service call is $2,500. If we can resolve the leak or complete the scope within this allotment, we will do so and bill only for time and materials used. If additional budget is required, we will contact you for authorization before proceeding.

Time is charged in 5-minute increments. For safety, crews commonly work in teams of two.

Terms (Invoicing & Payment)

  • All invoices are due upon receipt.
  • Unpaid balances may accrue interest, late fees, and collection costs as permitted by law.
  • Payment by credit card may incur a processing fee.
  • If bills are not paid in full for labor, services, equipment, or materials furnished, Rain Defense may exercise lien rights as allowed by law.

Limits & Liability

  • Rain Defense is not responsible for pre-existing defects, design issues, code violations, concealed conditions, or third-party workmanship not performed by Rain Defense.
  • Interior and consequential damages (including business interruption, contents, finishes, or occupant impacts) are excluded.

Access & Safety

Owner/manager agrees to provide safe and reasonable roof access, including keys, escorts, or access coordination as needed. Rain Defense may postpone or limit work if safe access is not available.

Dispute Resolution

Any dispute related to services performed under this agreement shall be resolved as provided in Rain Defense’s standard contract provisions (including binding arbitration).

Acceptance

By scheduling or authorizing service, you acknowledge that you have read and agree to this Service Agreement and Rain Defense’s standard contract provisions. This agreement remains on file with Rain Defense and applies to services provided at any location you request.
